Biography
Thomas W. (TW) Langevin is a member of the KMK Consulting incentive risk/loss mitigation team. TW is also a member of the Keating Muething & Klekamp Business Representation & Transactions Group where he assists public and private companies in the federal income tax and business planning areas. TW works with clients on a wide variety of federal, state, and local tax matters including income tax, corporate tax, partnership tax, S Corporation tax, and tax-exempt matters. TW primarily advises clients in matters relating to business entity formation, mergers and acquisitions, operational tax issues, reorganizations, tax-efficient restructurings, and tax-efficient exit strategies. Additionally, TW has extensive experience advising companies, founders, and investors with compliance and planning opportunities involving IRC Section 1202 qualified small business stock (QSBS).
TW frequently serves as outside general counsel to private equity firms and their portfolio companies where he advises them through fund formations, negotiations with portfolio investments, and fund operations and dissolutions. TW also frequently serves as a tax adviser to trustees of settlement trusts and qualified settlement funds. Moreover, TW has requested multiple IRS Private Letter Rulings on behalf of such trusts and funds for various tax issues.
Previously, TW was an associate at a full service business law firm based in Dayton, Ohio where he counseled clients on tax and general corporate matters. TW obtained an LL.M. in Taxation from the University of Florida Levin College of Law, and earned his J.D. from the University of Arkansas School of Law, magna cum laude. He also graduated with a B.A. in Economics from Arkansas State University, magna cum laude.
